Comprehensive Terms and Conditions of Service

1Definitions and Nature of the Contract

This document is a legal and binding agreement between the User (whether a natural or legal person, representatives, employees, and web services connected to the account) and the management of the Humasoul platform.

The Humasoul platform is purely a cloud software infrastructure (SaaS) designed to facilitate the issuance, organization, archiving, and processing of invoices, proformas, financial documents, and commercial remittances. The platform does not intervene in any transaction, agreements between parties, business jurisdiction, or the tax and legal decisions of users.

2Unilateral Right to Amend, Change and Update

The management of the Humasoul platform reserves the absolute and explicit right to change, complete, or update the text of this document, tariffs, access levels, and technical specifications of the platform at any time, without prior consent or direct notice to individual users.

The user must review this page periodically. Continued use of the platform after new rules are published constitutes definitive consent and the user's declarative intent to accept the latest published version.

3Responsibility for Data and Invoice Authenticity, and Legal/Tax Obligations

• Absolute responsibility of the user: All data, product/service titles, amounts, buyer and seller details, codes, and documents recorded, issued, or sent in the platform are entered directly by the user. The Humasoul platform bears no legal, criminal, civil, or administrative responsibility for their accuracy, authenticity, legality, or compliance with the country's tax laws.
• Tax obligations and taxpayer systems: The responsibility for accurately calculating value-added tax, quarterly reporting obligations, and timely submission of documents to taxpayer systems or the tax authority rests entirely with the user. Humasoul is not your tax advisor, auditor, or guarantor of tax obligations.
• Criminalization of fictitious invoices and money laundering: Any use of the platform to issue fictitious or fake invoices, evade taxes, launder money, or conduct activities beyond legal permission is prohibited. If observed, the user's account will be blocked immediately without refund and their details will be handed over to competent judicial authorities.

4Account Security, Sessions and Cookies

The user is directly and solely responsible for keeping their password, authentication tokens (JWT/Session Tokens), session cookies, and access to the registered email and phone number confidential.

All actions performed through the account, API keys, or active sessions are legally considered direct actions of the user, and claims of password theft, token leakage, or unauthorized third-party access (including the user's employees) will not be upheld.

Upon observing any suspicious transaction or access, the user must immediately notify support and change their password and terminate active sessions (Revoke Sessions).

5Limits of Technical Liability, Availability (SLA) and No Guarantee

Humasoul platform services are provided “AS IS” and “AS AVAILABLE”.

• Humasoul does not guarantee that platform services will be uninterrupted, error-free, completely secure, or available at all times.
• Outages caused by periodic server maintenance, technical updates, disruptions in international or national internet infrastructure, cyberattacks (DDoS), and force majeure events are beyond Humasoul's control, and no claim for damages or penalties against the platform will be upheld.
• The user must periodically create backups (Backup/Export) of their invoices and financial documents. The platform bears no responsibility for the loss or damage of data for reasons other than willful misconduct proven in court.

6Intellectual Property, Source Code and Brand

All material and intellectual rights belonging to the Humasoul platform, including the domain, trademark, logo, graphic design, user interface (UI/UX), front-end and back-end code, database structure, algorithms, and documentation, are exclusively owned by the Humasoul platform.

Any attempt at reverse engineering, extracting source code, copying the design, automatic data scraping, or selling and renting account access to third parties without written permission is strictly prohibited and will result in severe legal and criminal prosecution.

7Right to Suspension, Service Cutoff and Unilateral Blocking

The Humasoul platform has the right to immediately suspend, block, or completely erase a user account in the following cases, without judicial formalities or prior notice:

• Breach of any provision of this agreement by the user or their representatives.
• Use of robotic tools, unusual requests, and placing abnormal pressure on server infrastructure (DDoS or Abuse).
• An order from competent judicial, disciplinary, or tax authorities.
• Failure to pay subscription fees on time or recording suspicious and criminal invoices.
